GENERAL TERMS AND CONDITIONS
These General Terms and Conditions contain all the terms on which All Island Auctions, Inc. dba Oahu Auctions, Island Bid and the seller (also referred to as “Oahu Auctions”, "we", "us", "our" and "ourselves") contract with you (also referred to as the “bidder” and “buyer” and “you” and “your”). If there are any amendments to these terms and conditions, you will find such amendments at [insert link to website with most current version of the General Terms and Conditions] during the sale and such amendments will supersede the conditions of sale or relevant parts as notified provided herein.
BY REGISTERING TO BID AT AUCTION YOU AGREE TO BE BOUND BY AND ACCEPT THESE CONDITIONS OF SALE AND TERMS OF USE.
1. Registration.
a. All persons wishing to participate in the bidding process must be registered to enable bidding. All bidders must be 18 years of age or older. The bidder agrees to not use any device, software or routine to interfere or attempt to interfere with the proper working of any transaction being conducted on and during any auction sale.
b. If you have an existing Oahu Auctions account, you can sign into your account with your existing username and password and subsequently register for the auction. If you have created multiple accounts, you will need to select the account under which you wish to transact.
c. If you have not previously bid with Oahu Auctions and, therefore, do not already have an Oahu Auctions account, you will need to first create an account.
d. By registering, you acknowledge full understanding of the General Terms and Conditions set forth herein. Your bid is a binding contract. Unpaid invoices will be turned over to a collection agency.
e. Oahu Auctions reserves the right, at our complete discretion, to refuse your registration or participation in the auction, revoke your permission to participate and/or refuse to award you lots at any time prior to, during or even after the close of the sale.
2. Oahu Auctions as Agent. Except as otherwise stated, Oahu Auctions acts as agent for the seller. The contract for the sale of the property is therefore made between the seller and the buyer.
3. Before the Auction
a. Lot Descriptions. All statements by us in the online description of any property (the “lot description”) or orally or in writing elsewhere are statements of opinion given honestly and with appropriate care and are not to be relied on as statements of fact. Such statements do not constitute a representation, warranty or assumption of liability by us of any kind. The contents of any lot description are subject to change and should not be relied upon as definitively representing the lot. Lot descriptions may include references to condition in descriptions of multiple works (such as prints, books and wine). Please contact Oahu Auctions’ Client Services via email at info@oahuauctions.com for additional information on a particular lot. The nature of the lots sold in our auctions is such that they will rarely be in perfect condition, and are likely, due to their nature and age, to show signs of wear and tear, damage, other imperfections, restoration or repair. Any reference to condition in a lot description will not amount to a full description of condition. References in the lot description or any other supplementary material to damage are for guidance only and should be evaluated by personal inspection by the bidder or a knowledgeable representative. The absence of such a reference does not imply that an item is free from defects, nor does a reference to particular defects imply the absence of any others.
b. Examination of Property. You are strongly advised to examine personally any lot in which you are interested before bidding. Island Bid/Oahu Auctions is not responsible for any inconsistencies associated with the representation of items (via photos, videos, announcements, printed materials, etc.) and the actual product. Therefore, it is strongly encouraged that you inspect each item you intend to bid on. Bidders should make an informed decision on what item(s) to bid on based on personal inspection of such item(s). Oahu Auctions provides no guarantee in relation to the nature of any auction items. Bidder’s failure to inspect, or otherwise to be fully informed as to the nature, quality, condition, quantity and size of any item/lot will not constitute grounds for any claim, adjustment, refund, termination of the contract for sale, or refusal to close the sale, against Oahu Auctions or seller.
c. Buyer’s Responsibility. All property is sold AS IS - WHERE IS – HOW IS and WITH ALL FAULTS, known, apparent, or otherwise, without any representation, warranty or guarantee of any kind by Oahu Auctions. Buyers are responsible for satisfying themselves concerning the condition of the property and the matters referred to in the lot description. If you are considering bidding on a lot you should examine it – see 3(b) above.
(i) For vehicles purchased through this auction, the successful bidder assumes full responsibility for all fees associated with the vehicle. This includes but is not limited to fees required to bring the vehicle's registration current (if applicable), any penalties or fines linked to the vehicle, other applicable administrative or regulatory fees.
d. Right to Remove Items. Island Bid/Oahu Auctions reserves the right to add/remove items from the auction at any time for whatever reason. Island Bid/Oahu Auctions reserves the right to withdraw/modify any of the items listed in the catalog and/or add, remove or modify reserve amounts on any auction lot.
4. Right to Cancel Auction. Island Bid/Oahu Auctions reserves the right to cancel the auction entirely, extend the auction end date, or end the auction early.
5. During the Auction
a. Logistics. The application that enables online bidding is optimized for broadband connectivity (DSL or cable modem). Please note that broadband or other capacity constraints, corporate firewalls and other technical problems beyond our reasonable control may create difficulties for some users including, by way of example, in relation to accessing sales and in maintaining continuity of such access. Errors may occur in the quality of digital images. Oahu Auctions does not accept liability for such difficulties or errors.
b. Refusal of Bidding. Island Bid/Oahu Auctions reserves the right, in its absolute discretion, to reject, or cancel any bid(s) at any time for any reason. Island Bid/Oahu Auctions reserves the right to disable or deactivate your account at any time during the sale.
c. Bidding as Principal. When making a bid whether as an individual or on behalf of an entity, a bidder is accepting personal liability to pay the purchase price, which includes the hammer price for each lot (i.e. the amount of the highest bid for the sale of a lot), together with the buyer’s premium, plus any applicable value added, sales or compensating use tax or equivalent tax, any and all shipping expenses, including costs, packing and handling, any loss damage liability fees, and all other applicable charges, unless it has been explicitly agreed in writing with Oahu Auctions before the commencement of the sale that the bidder is acting as agent on behalf of an identified third party acceptable to Oahu Auctions and Oahu Auctions and the seller will only look to the principal for payment. Oahu Auctions and its staff reserves the right to bid on and purchase merchandise.
d. Auction End. The ending date and time of any online auction is specified in the Auction Details section of the auction page.
e. All Sales Final. All sales are final. No returns allowed. No refunds or price adjustments will be provided for any reason.
6. After the Sale
a. Successful Bids: Unless Oahu Auctions decides to use its discretion as set out in paragraph 5.b. above, the highest bid when the lot closes will be the successful bid. This means a contract for sale has been formed between the seller and the successful bidder. Winning bidders will receive an email notification of any successful bid. Neither Oahu Auctions nor the seller accepts responsibility for notifying you of the result of your bids.
b. Payment Terms. Payment terms and details are stated under the Auction Details section of each auction.
c. Buyer’s Premium. In addition to the final bid price for each lot, you agree to pay Oahu Auctions the buyer’s premium, plus any applicable Hawaii General Excise Tax, any and all removal, transport and shipping expenses, including costs, packing and handling, any loss damage liability fees, and all other applicable charges. The buyer’s premium is 15% of the hammer price on each lot. Hawaii General Excise Tax of 4.712% will be added.
d. Payment Deadline and Passing of Title. You must pay the full amount due, comprising the hammer price, buyer’s premium, any applicable Hawaii General Excise Tax, and all other applicable charges in full within the time specified under the Auction Details section of each auction. This applies even if you wish to arrange for removal, transportation and shipping of the items/lot.
e. Remedies for Non-Payment. If the buyer fails to make payment in full, cleared funds by the payment due date required by paragraph 6.d., Oahu Auctions will be entitled in our absolute discretion to exercise one or more of the following rights or remedies (in addition to asserting any other rights or remedies available to us by law):
(i) to charge interest at the maximum rate permitted by law;
(ii) to hold the defaulting buyer liable for the total amount due and to commence legal proceedings for its recovery together with interest, legal fees and costs to the fullest extent permitted under applicable law;
(iii) to cancel the sale;
(iv) to resell the property publicly or privately on such terms as Oahu Auctions and the seller shall think fit, and the buyer shall be liable for payment of any deficiency between the total amount originally due to us and the price obtained upon resale as well as for all costs, expenses, damages, legal fees and commissions and premiums of whatever kind associated with both sales or otherwise arising from the default;
(v) to set off against any amounts which Oahu Auctions, may owe to the buyer in any other transactions, the outstanding amount remaining unpaid by the buyer;
(vi) to reject at any future auction any bids made by or on behalf of the buyer or to obtain a deposit from the buyer before accepting any bids;
(vii) to exercise all the rights and remedies of a person holding security over any property in Oahu Auctions’ possession owned by the buyer, whether by way of pledge, security interest or in any other way, to the fullest extent permitted by the law of the place where such property is located. The buyer will be deemed to have granted such security to Oahu Auctions and Oahu Auctions may retain such property as collateral security for such buyer's obligations to Oahu Auctions;
(viii) to report and turn over all unpaid accounts to a collection agency; and/or
(ix) to take such other action as Oahu Auctions deems necessary or appropriate.
f. Removal of Purchased Items/Lots. Purchased items become the full responsibility of buyer at time of payment. Removal, including but not limited to packing, handling, transport and shipping is at the expense, risk, and liability of the buyer. Any buyer having a third party pick up buyer’s purchases must notify the Auction Company in writing.
g. Abandoned/Unclaimed Items. The date by which all purchased items must be removed from the premises is stated under the Auction Details section of each auction.
Items that are not picked up within the specified scheduled pick-up dates/times are subject to forfeiture, in which case, items will be considered abandoned and you will lose all claim to the property. No refunds will be provided. All items not claimed by the specified pick-up deadline date/time published on the auction page summary and details, will be subject to forfeiture and will be disposed of, resold or donated.
7. Oahu Auctions’ Liability
a. Internet Services. Oahu Auctions offers internet services as a convenience to Oahu Auctions’ clients, but neither Oahu Auctions nor the seller will be responsible to you for errors or failures to execute bids placed on the internet or on your mobile device, including, without limitation, errors or failures caused by: (i) any loss of connection to the online-only auction; (ii) a breakdown or problems with the online bidding software; and/or (iii) a breakdown or problems with any internet connection, computer, mobile device or system. Execution of on-line and mobile internet bids is a free service and neither Oahu Auctions nor the seller accepts liability for failing to access the bidding site or to execute an online or mobile internet bid or for errors or omissions in connection with this activity. In addition, any condition reports are free services and neither Oahu Auctions nor the seller is responsible to you for any error or breakdown in these services.
b. Extent of Liability.
(i) Neither the seller nor Oahu Auctions, nor any of their officers, employees or agents, are responsible for the correctness of any statement of whatever kind concerning any lot, whether written or oral, nor for any other errors or omissions in description or for any faults or defects in any lot. Neither the seller, nor Oahu Auctions, nor any of their officers, employees or agents, give any representation, warranty or guarantee or assume any liability of any kind in respect of any lot with regard to merchantability, fitness for a particular purpose, description, size, quality, value, condition, attribution, authenticity, rarity, importance, medium, provenance, exhibition, history, literature or historical relevance. Except as required by local law any warranty of any kind whatsoever is excluded by this paragraph;
(ii) Neither the seller nor Oahu Auctions, nor any of their officers, employees or agents, is responsible for any loss caused by or resulting from confiscation of a shipment of purchased property to any state or foreign country or risks of restricted transportation by government or public authority;
(iii) In addition to the other rights of cancellation contained in this agreement, Oahu Auctions can cancel a sale of a lot if we reasonably believe that completing the transaction is or may be unlawful or that the sale places us or the seller under any liability to anyone else or may damage our reputation; and
(iv) Translations of certain documents relating to the sale, including but not limited to lot descriptions and these General Terms and Conditions, may be provided as a convenience to our clients. Neither Oahu Auctions nor the seller makes any representation as to the accuracy of such translations and will not be held responsible for errors in bidding arising from inaccuracies in translation.
8. Copyright
a. The copyright in all images, illustrations and written material produced by or for Oahu Auctions or the seller relating to a lot, including but not limited to the lot description, is and shall remain at all times the property of Oahu Auctions and shall not be used by the buyer, nor by anyone else, without the prior written consent of Oahu Auctions. Oahu Auctions and the seller make no representation or warranty that the buyer of a property will acquire any copyright or other reproduction rights in it.
b. The contents of the online-only auction as displayed within https://www.oahuauctions.com/, including but not limited to text, graphics, and images (hereinafter the “Material”) are protected by copyright, trademark and other laws and are owned or controlled by All Island Auctions, Inc. and/or by third parties. Oahu Auctions and the seller authorize you to view and download a single copy of the Material solely for your personal, non-commercial use provided that the aforementioned single copy shall be deleted and destroyed in whatever form rendered and upon whatever media stored no later than 30 days following the conclusion of the auction. All rights in and to the Material not expressly granted to you are reserved. You may not sell, prepare derivative works based on, modify, reproduce, publicly display, publicly perform, distribute, or otherwise use the Material in any way for any public or commercial purpose without the express prior written permission of Oahu Auctions, the seller or any applicable third party, as applicable.
9. Personal Information. Oahu Auctions will hold and process your personal information. You are entirely responsible for maintaining the confidentiality of your username and password and for any and all activities that occur under your account. Our services use Merchant 1 Payments to process all payments, and may include fraud prevention reviews. Payment-specific information is submitted to icollector.com and is processed on secure servers. The information submitted and used for processing includes without limitation:
• Name and contact details including shipping and billing addresses
• Credit Card information
• Total transaction value
• The IP Address from which you are checking out
Oahu Auctions do not have access to or retain any Credit Card information details.
10. Changes to General Terms and Conditions. Oahu Auctions may modify these General Terms and Conditions at any time, in our sole discretion. If Oahu Auctions does so, we will inform you by posting the modified General Terms and Conditions or our website or through other communications with you. It is important that you review the General Terms and Conditions whenever Oahu Auctions modifies them because if you continue to sign into any online auction with your existing username and password and then subsequently register for the auction after Oahu Auctions has posted or otherwise informed you of the modified General Terms and Conditions, you are indicating to Oahu Auctions that you agree to be bound by the modified General Terms and Conditions. If you do not agree to be bound by the modified General Terms and Conditions, then you may not participate in the bidding process in any Oahu Auctions’ online auction.
11. Indemnification and Waiver.
a. The bidder agrees to indemnify, defend and hold Oahu Auctions harmless from and against any and all claims, damages, losses, liabilities, costs or expenses, including reasonable attorneys’ fees, whether direct or indirect, which may arise from or be related to the actual or alleged acts or omissions of the bidder respecting (i) its participation in the auction, (ii) its performance under these General Terms and Conditions, or (iii) any other transaction in which the bidder participates to which these General Terms and Conditions relates.
b. The bidder expressly waives and releases Oahu Auctions from any liability for: (i) any and all claims, damages, losses, liabilities, costs or expenses, including reasonable attorneys’ fees and costs, whether direct or indirect, which may arise from or be related to any auction, these General Terms and Conditions, or any other transaction to which these General Terms and Conditions relate, including without limitation the conduct of the auction, the quality or availability of the auction site or any tools or materials provided by Oahu Auctions, any disturbance in the technical process, the receipt, storage and/or security of bids; and (ii) any incidental or consequential damage, lost profits or lost opportunity which may arise from or be related to any auction, these General Terms and Conditions, or any other transaction to which these General Terms and Conditions relate.
12. Attorneys’ Fees and Costs. If any action at law or in equity is necessary to enforce or interpret the terms of these General Terms and Conditions, the prevailing party shall be entitled to reasonable attorneys' fees, costs and necessary disbursements in addition to any other relief to which such party may be entitled.
13. Severability. If any part of these General Terms and Conditions is found by any court to be invalid, illegal or unenforceable, that part shall be discounted and the rest of the conditions shall continue to be valid to the fullest extent permitted by law.
14. Law and Jurisdiction. The rights and obligations of the parties with respect to these General Terms and Conditions, the conduct of the auction and any matters connected with any of the foregoing shall be governed and interpreted by the laws of the State of Hawaii.
